Under the terms of the agreement, 3Dlabs will issue up to 3.69 million common shares of 3Dlabs to Intergraph as initial consideration for the acquired assets and goodwill, with an earn-out provision totaling up to an additional $25 million, payable in stock and/or cash. The earn-out will be based on certain performance metrics for the Intense3D operations for the remainder of year 2000 following the closing of the transaction. In addition, 3Dlabs will continue to supply professional graphics and digital media accelerators for incorporation into Intergraph's system products. The deal, which is subject to regulatory approvals, is expected to close during the second quarter of 2000. 3Dlabs will incur one-time acquisition related charges in the second quarter of 2000.Intense3D, based in Huntsville, Alabama and best known for its highly-acclaimed Wildcat® range of professional products, is a leader in very high performance 3D graphics and digital media accelerators, sold primarily through tier one OEMs such as Compaq, Dell and IBM. 3Dlabs is a leading supplier of professional graphics accelerators best known for its award winning Oxygen® family of products that are sold through 3Dlabs' extensive reseller channel to system integrators, VARs and directly to tier one OEMs such as Compaq, HP and NEC.
The Wildcat and Oxygen families target different segments of the Computer Aided Design (CAD), Digital Content Creation (DCC), geophysical, medical and visual simulation markets, resulting in the broadest range of professional graphics products in the industry today.
As a result of this acquisition, 3Dlabs will have the widest range of OEM customers of any professional graphics vendor, and will have nearly doubled the size of its already significant patent portfolio. With the addition of approximately 95 personnel, including 75 in engineering, the combined company will have a total headcount of approximately 250 worldwide. Intense3D will maintain its operations in Huntsville, Alabama.
